1. Acceptance of Terms

By accessing or using SafeZoneNet's zero-trust networking platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, you may not use the Service.

These Terms are published in English. Translations are provided for convenience only; the English version governs.

2. Description of Service

SafeZoneNet provides a zero-trust networking platform that enables governed connectivity between devices, users, and resources. The Service includes:

• WireGuard-based mesh networking infrastructure
• Access-control policy drafting, simulation, and approval workflows
• Device posture evaluation and route approval
• Managed relay infrastructure
• Management console, APIs, and audit evidence exports

3. Beta Service

The Service is currently offered as an invite-only private beta. Beta functionality is provided "AS IS" and may be changed, suspended, or discontinued at any time without notice. Features described in marketing materials, roadmaps, or changelogs are not commitments and do not form part of these Terms.

During beta, service levels, availability targets, and support response times are not guaranteed unless separately agreed in writing. You should not rely on the Service as the sole connectivity or security control for production or safety-critical systems without your own compensating controls and tested fallback.

4. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials and any join tokens issued to you
• Enable multi-factor authentication for administrative accounts where available
• Notify us promptly at [email protected] of any unauthorized access
• Be responsible for all activity under your account and within your organization

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Transmit malware or malicious code
• Attempt to circumvent security measures, rate limits, or tenant isolation
• Conduct scanning, penetration testing, or load testing against SafeZoneNet infrastructure without prior written authorization
• Interfere with other users' access to the Service, including abuse of managed relay capacity
• Operate open proxies, anonymization services, or traffic-laundering endpoints via exit nodes
• Engage in any activity that could harm our infrastructure or our other customers

6. Customer Network Authorization

You represent and warrant that you own, or are expressly authorized to connect, route, and apply policy to, every network, subnet, device, and resource you attach to the Service. This includes any subnet routes you advertise and any exit nodes you enable.

You are solely responsible for ensuring that your use of the Service complies with your own organization's policies and with any contractual or regulatory obligations you owe to third parties whose traffic or data traverses your mesh.

7. AI-Assisted Features

Certain features use large language models to draft access-control policies, summarize audit data, explain anomaly signals, and propose remediation. These outputs are decision support, not decisions. They may be incomplete, inaccurate, or unsuitable for your environment.

AI-proposed policies and remediations require operator review and approval before they take effect. You remain responsible for reviewing, testing, and approving any change before applying it. SafeZoneNet is not liable for outcomes arising from an AI-assisted proposal that you approved.

Prompts you submit and the associated context may be processed by third-party model providers listed in our subprocessor register. Do not submit personal data or regulated data into free-text AI prompts beyond what is necessary.

8. Subscription and Payment

Paid plans are offered on a subscription basis. By subscribing, you agree to:

• Pay all applicable fees based on your selected plan and seat count
• Provide valid payment information through our payment processor
• Automatic renewal unless cancelled before the renewal date
• Fees are exclusive of taxes, which are your responsibility where applicable

9. Trials, Plan Changes, and Cancellation

The Pro trial runs for 14 days from checkout and converts to a paid subscription unless cancelled before it ends. A payment method is required to start the trial.

Upgrades and downgrades take effect immediately with prorated billing. Prorated credits are applied to future invoices and are not refundable in cash.

On downgrade to Free, plan-gated features stop applying: SSO enforcement is disabled, audit retention reduces to the Free window, and devices above the Free limit are disconnected. Export any evidence you need to retain before downgrading.

On cancellation, access continues until the end of the paid period. Following termination you may export your data for 30 days, after which it is deleted in accordance with our Privacy Policy and backup retention schedule.

If payment fails, we may suspend paid features after notice to the billing contact. Suspension does not waive outstanding fees.

10. Service Level Agreement

Enterprise plans may include a Service Level Agreement (SLA). Specific uptime commitments and service credit terms, when offered, will be set out in a separate SLA document signed at contract execution. No SLA applies to Free, Pro, or beta usage unless separately agreed in writing.

11. Data Ownership

You retain all rights to your data. We do not sell your data. You grant us a limited, non-exclusive licence to process your data solely to provide, secure, and support the Service, and to meet legal obligations.

12. Data Processing and Subprocessors

Where SafeZoneNet processes personal data on your behalf, we act as processor and you act as controller. Our Data Processing Agreement, including Standard Contractual Clauses for international transfers, is available on request at [email protected].

We engage subprocessors to deliver the Service. The current subprocessor register is published in our Privacy Policy. We will give notice of material subprocessor changes and you may object on reasonable data-protection grounds.

13. Customer Responsibilities and Backups

You are responsible for maintaining your own backups of configuration and evidence that you are required to retain, and for exporting audit data before retention windows elapse or a plan downgrade takes effect.

You are responsible for administering your own users, roles, and device enrolments, including promptly revoking access for departed personnel.

14. Suspension

We may suspend all or part of your access without prior notice where we reasonably believe it is necessary to protect the Service, our other customers, or third parties — for example in response to an active compromise, abuse of relay capacity, or unlawful activity.

Where practicable we will notify you and restore access once the cause is resolved. Suspension for cause does not entitle you to a refund.

15. Export Controls and Sanctions

The Service, which includes cryptographic functionality, is subject to United States export control laws and may be subject to the laws of other jurisdictions. You represent that you are not located in, organized under the laws of, or ordinarily resident in a territory subject to comprehensive sanctions, and that you are not a person listed on any applicable restricted-party list.

You agree not to export, re-export, or make the Service available in violation of applicable export control or sanctions laws.

16. High-Risk and Critical-Infrastructure Use

The Service is not designed, tested, or certified for use in circumstances where failure could lead to death, personal injury, or severe environmental damage — including life support, emergency response, nuclear facilities, aircraft navigation, or weapons systems.

If you deploy the Service in an industrial control, medical, or other regulated environment, you are responsible for your own risk assessment, compensating controls, and any regulatory approvals.

17. Confidentiality

Each party may receive non-public information from the other. The receiving party will use it only to perform under these Terms, protect it with at least reasonable care, and not disclose it except to personnel and advisers bound by comparable obligations, or where legally compelled.

This clause does not apply to information that is public through no fault of the receiving party, independently developed, or lawfully received from a third party.

18. Warranty Disclaimer

EXCEPT AS EXPRESSLY STATED IN A SIGNED AGREEMENT, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SafeZoneNet does not warrant that the Service will be uninterrupted, error-free, or that it will detect or prevent every security event. Anomaly signals, posture checks, and policy simulation are aids to human judgement and are not guarantees of security outcomes.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAFEZONENET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SAFEZONENET'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS. WHERE THE SERVICE IS PROVIDED FREE OF CHARGE OR AS A BETA, THE CAP IS ONE HUNDRED US DOLLARS.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or for death or personal injury caused by negligence. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

20. Indemnification

You will defend and indemnify SafeZoneNet against third-party claims arising from your unlawful use of the Service, your breach of the Acceptable Use or Customer Network Authorization sections, or your infringement of a third party's rights through content or traffic you route.

We will notify you of any such claim, give you control of the defence, and provide reasonable cooperation at your expense.

21. Termination

Either party may terminate this agreement at any time. Upon termination:

• Your access to the Service will be revoked
• You may export your data within 30 days
• Outstanding fees remain payable
• Sections that by their nature should survive — including confidentiality, warranty disclaimer, liability limits, and indemnification — continue to apply

22. Changes to These Terms

We may update these Terms. For material changes affecting paid plans we will give at least 30 days' notice to the account's billing contact before the change takes effect. Continued use after the effective date constitutes acceptance.

23. Governing Law

These Terms shall be governed by the laws of the State of California. Any disputes shall be resolved in the courts of San Francisco County.
